1. Agreement to terms
By accessing or using Cargonautic, you agree to these Terms of Service. If you do not agree, do not use the platform. These terms apply to all users: freight forwarding companies (our customers), their clients (customer portal users), sales representatives, and platform administrators.
If you are using Cargonautic on behalf of a company, you represent that you have authority to bind that company to these terms.
2. What Cargonautic provides
Cargonautic is a white-label SaaS platform that provides freight forwarders with a branded customer portal for managing quotes, bookings, shipments, documents, and invoices. The platform includes:
- A company admin portal for forwarder staff.
- A customer portal, branded with the forwarder's logo, colors, fonts, and domain.
- A sales portal for Cargonautic's sales team.
- A platform admin interface for Cargonautic operations.
- Installable PWA (Progressive Web App) versions of each portal, with offline support and optional push notifications.
- Customizable design vibes — forwarders can choose the overall look and feel of their portal, including fonts, layout, and visual identity.
We provide the infrastructure, software, and security. We do not provide freight forwarding services ourselves — we are a software platform, not a freight forwarder.
3. Accounts and access
Forwarder accounts: Freight forwarding companies create accounts through Cargonautic's sales and onboarding process. Each company designates an administrator who manages staff access.
Customer portal accounts: Customers of freight forwarders create accounts through the forwarder's branded portal. Customer accounts are scoped to a single forwarder. If a customer works with multiple forwarders, they need separate accounts for each.
Sales accounts: Sales representatives and managers are provisioned by Cargonautic. Sales users have access only to lead management tools and are isolated from tenant operational data.
You are responsible for maintaining the security of your account credentials. Notify us immediately of any unauthorized access.
4. Acceptable use
You agree not to:
- Use Cargonautic for any illegal purpose or in violation of applicable laws.
- Upload malware, viruses, or malicious code.
- Attempt to access data belonging to other companies or users.
- Reverse engineer, decompile, or disassemble the platform.
- Resell or sublicense access to Cargonautic without authorization.
- Use the platform to transmit spam, phishing, or fraudulent communications.
- Interfere with the platform's security features or rate limits.
- Scrape or bulk-download data from the platform.
Violations may result in account suspension or termination without refund.
5. Subscription and billing
Cargonautic charges freight forwarding companies a subscription fee for use of the platform. Pricing is set in your subscription agreement and processed via Stripe.
Subscriptions auto-renew unless cancelled. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.
Overdue invoices may result in account suspension. We provide a 15-day grace period before suspending access. Suspended accounts can be restored by paying outstanding balances.
Customer portal users and sales users are not charged for using Cargonautic.
6. Custom domains, branding, and design
Freight forwarders may configure a custom domain for their customer portal (e.g., portal.yourcompany.com). Cargonautic provisions SSL certificates and DNS through Vercel for Platforms. The forwarder is responsible for maintaining DNS records as directed.
Forwarders may customize their portal's branding — including logo, colors, layout skeleton, design vibe, and terminology. Cargonautic does not display its own branding in the customer portal. The customer-facing experience is fully white-labeled.
By uploading branding assets (logos, colors, domain names), you represent that you have the right to use those assets and that they do not infringe on third-party intellectual property.
7. Your data
You own your data. Cargonautic processes your data on your behalf to provide the platform. You can export your data at any time. On cancellation, we provide a 30-day export window, after which your data is deleted (see Privacy Policy for retention details).
You are responsible for the accuracy and legality of the data you upload, including shipment information, customer contact details, and documents. You must have appropriate consent to store personal data of your customers in the platform.
8. Service availability
We strive for high availability but do not guarantee uninterrupted service. The platform may be unavailable due to maintenance, infrastructure outages, or events beyond our control. We provide notice of scheduled maintenance when possible.
We are not liable for losses caused by service unavailability, including missed shipments, delayed quotes, or expired offers. Freight forwarding operations should maintain backup processes for critical workflows.
9. Intellectual property
Cargonautic owns the platform, its source code, design, and branding. Forwarders own their company name, logo, and branding elements they upload. Customer portal users own their shipment data and documents.
By uploading branding assets (logos, colors, domain names), you represent that you have the right to use those assets and that they do not infringe on third-party intellectual property.
10. Disclaimers
Cargonautic is provided "as is" and "as available." We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be error-free, secure, or available at all times.
Cargonautic is not a freight forwarder. We do not arrange transportation, issue bills of lading, or provide logistics services. We are not responsible for the accuracy of shipment data, tracking information, or pricing entered by forwarders.
11. Limitation of liability
To the maximum extent permitted by law, Cargonautic's total liability for any claim arising from these terms or your use of the platform is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption, arising from your use of or inability to use the platform.
12. Indemnification
You agree to indemnify and hold Cargonautic harmless from claims, damages, and expenses arising from your use of the platform, your violation of these terms, or your infringement of third-party rights.
13. Termination
You may terminate your account at any time by contacting us or cancelling your subscription from your account settings.
We may suspend or terminate accounts that violate these terms, fail to pay subscription fees, or pose a security risk. On termination, your data is retained for 30 days for export, then deleted.
14. Changes to these terms
We may update these Terms of Service from time to time. We will notify our customers of material changes via email at least 30 days before they take effect. Continued use after the effective date constitutes acceptance of the updated terms.
15. Governing law
These terms are governed by the laws of the jurisdiction in which Cargonautic is incorporated, without regard to conflict of law principles. Disputes will be resolved in the courts of that jurisdiction, unless otherwise required by applicable consumer protection laws.
